Bio Group Brazil executes the call option agreement

In relation to the call option contract entered by and between Natra, S.A. and the Brazilian company Bio Group Brazil concerning  the stake that Natra, S.A. holds in the French multinational Naturex, Bio Group Brazil has proceeded to execute before its maturity date the whole call option agreement, thus having acquired the 248,275 shares of Naturex owned by Natra, S.A.

The amount received by Natra, S.A. in consideration for the execution of the call option, together with the premiums paid by Bio Group Brazil for the option contracts, have resulted in a total income before taxes of € 11.2 million and a capital gain amounting  € 2,65 million.

The divestment of Natra, S.A. in Naturex after the execution of the option agreement by Bio Group Brazil, along with the sale during last weeks of 146,795 Naturex shares owned by its subsidiary Natraceutical, S.A. -as Natraceutical, S.A. reported in its results note for the first quarter of 2011 disclosed yesterday, May 10-, implies  a 6.15%, decrease in the overall shareholding of Natra Group in Naturex, what will be notified punctually by  Natra Group to the French regulator (AMF).

After these transactions, Natra Group holds 2,021,424 shares in Naturex, representing 31.53% of its share share capital, which are fully owned by Natraceutical, S.A. and its subsidiary companies.
